MEMBERSHIP TERMS AND CONDITIONS

1.1 Please take the time to read and understand these membership terms and conditions (“Terms”) prior to signing up for AZRAQ membership (“Membership”).

1.3 By completing and submitting our Membership sign-up form (here) (“Sign-Up Form”) you agree that these Terms become a legally binding contract between you and AZRAQ (“AZRAQ”, “we” or “us”), a not-for-profit civil organisation established in the Emirate of Dubai, United Arab Emirates (“UAE”), for the duration of your Membership.
1.4 Membership is open to UAE residents who are at least 21 years old. You can also apply for membership for your children (“Family Members”) at no extra charge by selecting the relevant dropdown menu within the Sign-Up Form. Under such circumstances, the primary member who submits the Membership application remains the party to these Terms and is responsible for ensuring that their Family Members comply with these Terms at all times.
1.5 When registering for Membership, you must provide AZRAQ with accurate and complete information in the Sign-Up Form. It is your responsibility to inform AZRAQ of any changes to the information provided (including, without limitation, your email address) by emailing us at info@azraqme.org.
1.6 Membership applications are subject to approval by AZRAQ. AZRAQ reserves the right to reject any application for any reason whatsoever. - Membership
2.1 Subject to completion of the Sign-Up Form, acceptance of these Terms and payment of the Membership Fees we shall provide various benefits on our Members, such as (by way of example only, and subject always to Section
2.2):- Invitations to networking events;
- Annual certificate of completion;
- Free AZRAQ branded products (subject to availability);
- Discounts with our partner outlets (which may change from time to time depending upon the partners we engage);
- Free access to our chat groups for adult members only (which are hosted on third party platforms, and which are subject to terms and conditions of those third party platform operators);
- Free access to our resource libraries; and
- Free access to our beach clean ups and networking events. Note that certain events (including, without limitation, mangrove planting events), are subject to the payment of a separate fee.
2.2 The Site is intended for use only by those who can access it from the UAE. We do not represent that content available on or through our Site is appropriate for use or available in other territories. - Membership Fees
3.1 You shall pay your membership fees (“Membership Fees”) online immediately upon submitting your Membership application. Your Membership will not be activated unless and until payment has been made in full and will automatically expire one year from the date on which you previously paid your Membership Fees unless you agree to renew your Membership and pay the Membership Fee for the following year pursuant to Clause 4.1, below.
3.2 Details of our current Membership Fees (including those discounted Membership Fees for Family Members) can be found here. We may update our Membership Fees from time-to-time. Any increase in Membership Fees will only apply upon renewal of your annual Membership.
3.3 Membership Fees are non-refundable. - Termination or Expiry of Membership
4.1 Your Membership lasts for one year from the date on which you sign up and pay your Fees. We will invite you to renew your Membership 30 days prior to the expiry of your then current Membership. If you choose not to renew your Membership, it will automatically end upon expiry of the then-current one year term.
4.2 You may terminate your Membership at any time prior to the end of then-current one year term by emailing us at memberships@azraqme.org info@azraqme.org. Under such circumstances you will not be entitled to a refund of any Membership Fees paid prior to the date of termination.
4.3 We may also terminate your Membership at any time if you or your Family Members breach these Terms. Under such circumstances, you will not be entitled to a refund of any Fees paid prior to the date of termination.
4.4 Termination of the primary Member’s Membership under the circumstances described at Sections 4.2 and 4.3, above, will also result in termination of any associated Family Membership. - Liability
5.1 To the fullest extent permitted by applicable law, AZRAQ’s total aggregate liability to Members in connection with these Terms and your Membership shall be limited to a sum equal to the Membership Fees. Under no circumstances shall AZRAQ have any liability to Family Members.
5.2 Under no circumstances, shall AZRAQ be liable to any Member for any indirect or consequential loss. - Changes to these Terms
6.1 We reserve the right to make changes to these Terms at any time by providing you with written notice of such changes (“Change Notice”) 30 days prior to those changes coming into effect. The current version of these Terms is the version available [here]. Whilst we will typically seek your express consent to any changes to these Terms, in the event that we do not seek such consent, or under circumstances where you do not respond to our request for your consent, by continuing your Membership following receipt of a Change Notice you will be deemed to have accepted the updated Terms. - Miscellaneous
7.1 These Terms constitute the entire agreement between us and supersede all previous agreements, promises, assurances and representations (whether written or oral) relating to its subject matter.
7.2 If any provision of these Terms is found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions of these Terms which shall remain in full force and effect.
7.3 No failure to exercise and no delay in exercising any right, power of remedy under these Terms will operate as a waiver. Nor will any single or partial exercise of any right, power or remedy preclude any other or further exercise of that or any other right, power or remedy.
7.4 You may not assign, or otherwise transfer your rights or obligations, of these Terms (including your Membership, or that of any Family Member).
7.5 We will not be liable for any delay or failure to perform its obligations under these Terms if that failure or delay is due to any event beyond its reasonable control, provided that the party notifies the other party of any anticipated delay or interruption due to such event as soon as is reasonably practicable.
7.6 No third party shall have the right to enforce any provision of these Terms.7.7 You shall not represent yourself as an agent or employee of AZRAQ and hereby acknowledge and agree that you do not have the right or authority to bind AZRAQ for any purpose whatsoever.

- Governing law and Forum for Resolution of Disputes
8.1 These Terms including any disputes or claims (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai.
8.2 The parties irrevocably agree that the Courts of the Dubai International Financial Centre shall have exclusive jurisdiction to settle any disputes or claims (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation.
